These terms govern your business relationship with SparkleOne for B2B solar and energy storage solutions.
1 Agreement Overview
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "Customer," or "you") and SparkleOne ("Company," "we," "us," or "our") regarding your use of our B2B solar photovoltaic modules, energy storage systems, inverters, mounting structures, and related OEM/ODM services.
By engaging with SparkleOne for quotations, orders, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not proceed with any business relationship.
B2B Only Notice
SparkleOne exclusively serves business clients including wholesalers, distributors, EPC companies, system integrators, and international brands. We do NOT engage in retail or direct-to-consumer sales.
2 Business Scope & Services
2.1 Product Categories
- Solar PV modules (monocrystalline, bifacial, N-type, custom power ranges)
- Energy storage systems (residential wall-mounted, C&I cabinet/containerized)
- Inverters and control systems (on-grid, hybrid, off-grid)
- Mounting structures and system accessories
2.2 OEM/ODM Services
Our customization services include but are not limited to: product design and engineering, branding and packaging customization, firmware/software development, certification support, and mass production management.
3 Orders, Pricing & Payment
3.1 Order Process
All orders require written confirmation through official quotation and purchase order documentation. Verbal agreements are not binding until formalized in writing with authorized signatures from both parties.
3.2 Minimum Order Quantities (MOQ)
Standard products typically require minimum order quantities as specified in our product catalogs. Custom OEM/ODM projects may have different MOQ requirements based on complexity and production setup costs.
3.3 Payment Terms
- Standard payment terms: 30% deposit upon order confirmation, 70% balance before shipment
- OEM/ODM projects: Payment schedule as agreed in specific project contracts
- Accepted payment methods: T/T (Wire Transfer), L/C (Letter of Credit)
4 Quality Assurance & Warranties
4.1 Product Quality Standards
All products manufactured by SparkleOne comply with relevant international standards including but not limited to IEC, CE, UL, and other certifications as applicable. We maintain strict quality control throughout the manufacturing process.

4.3 Warranty Claims
Warranty claims must be reported within the warranty period with proper documentation including purchase records, installation photos, and performance data. SparkleOne reserves the right to inspect products before approving warranty claims.
5 Shipping & Risk Transfer
5.1 Delivery Terms
Unless otherwise specified, all shipments are FOB (Free on Board) from our manufacturing facility. Risk of loss transfers to the Customer upon delivery to the shipping carrier. Delivery timeframes are estimates and not guaranteed.
5.2 International Shipping
For international orders, Customer is responsible for all customs duties, taxes, import fees, and compliance with local regulations. SparkleOne will provide necessary export documentation but cannot guarantee customs clearance.
5.3 Inspection & Claims
Customer must inspect products within 7 days of delivery and report any damage or discrepancies immediately. Failure to report issues within this timeframe may void claims for shipping damage or quantity discrepancies.
6 Intellectual Property & Confidentiality
6.1 Proprietary Rights
SparkleOne retains all rights to its proprietary designs, manufacturing processes, and technical specifications. Customer may not reverse engineer, copy, or reproduce our products without explicit written permission.
6.2 OEM/ODM Arrangements
For custom OEM/ODM projects, intellectual property ownership and usage rights will be specifically defined in separate agreements. Customer-provided designs and specifications remain Customer's property, while SparkleOne manufacturing processes remain proprietary.
6.3 Confidentiality
Both parties agree to maintain confidentiality of proprietary information, technical specifications, pricing, and business terms disclosed during the course of business relationship.
7 Limitations of Liability
Important Legal Notice
SparkleOne's total liability for any claims arising from products or services shall not exceed the total amount paid by Customer for the specific products giving rise to the claim. We shall not be liable for indirect, consequential, punitive, or incidental damages including but not limited to lost profits, business interruption, or system downtime.
7.1 Product Application Responsibility
Customer is solely responsible for proper system design, installation, commissioning, and compliance with local electrical codes and regulations. SparkleOne provides products and technical guidance but does not assume responsibility for system performance in specific applications.
7.2 Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, government regulations, labor disputes, or supply chain disruptions.
8 Dispute Resolution & Governing Law
8.1 Negotiation First
In the event of any dispute, both parties agree to first attempt resolution through good faith negotiation and direct communication between authorized representatives.
8.2 Arbitration
If negotiation fails, disputes shall be resolved through binding arbitration under the rules of the International Chamber of Commerce (ICC) or other mutually agreed arbitration body. Arbitration proceedings shall be conducted in English.
8.3 Governing Law
These Terms shall be governed by and construed in accordance with international commercial law principles and the laws of the jurisdiction where SparkleOne is incorporated, without regard to conflict of law provisions.
9 Modifications & Contact Information
9.1 Terms Updates
SparkleOne reserves the right to modify these Terms at any time. Updated Terms will be posted on our website and communicated to active business partners. Continued business relationship after notification constitutes acceptance of updated Terms.
